Welcome to Mundee! These Terms of Use ("Terms") govern your access to and use of the Mundee mobile application and any related services (collectively, the "App").

Your Acceptance of These Terms of Use

These Terms apply to all users of the App. By accessing or using the App, you agree to comply with and be bound by these Terms, our Privacy Policy, and any supplemental terms referenced or linked to herein. If you do not agree, you may not access or use the App.

Our Privacy Policy

Before using the App, please review our Privacy Policy. All personal information provided to us as a result of your use of the App will be handled in accordance with our Privacy Policy. To the extent there are inconsistencies between these Terms and our Privacy Policy, the Privacy Policy controls.

Who Should Use The App

The App is intended for users ages 16 and up in the United States and Canada. Anyone under 16 is prohibited from using the App. If you are between 16 and 18 years old, you should review these Terms with a parent or guardian. If you suspect that someone under the age of 16 has created an account or provided personal information through the App, please contact us immediately at mundee.help@gmail.com.

Ownership of the App and its Content

The App, including all its content ("Content"), is protected under applicable intellectual property and other laws, including without limitation the laws of the United States and Canada. All Content and intellectual property rights therein are the property of Mundee and are protected pursuant to applicable copyright and trademark laws.

The presence of any Content on the App does not constitute a waiver of any right in such Content. You do not acquire ownership rights to any such Content viewed through the App. Except as otherwise provided herein, none of this Content may be used, copied, reproduced, distributed, republished, downloaded, modified, displayed, posted, or transmitted in any form or by any means, including but not limited to, electronic, mechanical, photocopying, recording, or otherwise, without our express prior written permission, which may be withheld in our sole discretion.

Permission is hereby granted only to the extent necessary to lawfully access and use the App and to display or print portions of the App, but only on a temporary basis and for your personal, educational, and noncommercial use, provided that (i) you do not modify the Content; (ii) you retain any and all copyright and other proprietary notices contained in the Content; and (iii) you do not copy or post the Content on any network computer or broadcast the Content in any media. All rights in and to the App and Content not expressly granted are hereby reserved by Mundee.

Trademarks

The Mundee name and logo, all product and service names, all graphics, all button icons, and all trademarks, service marks and logos appearing within the App, unless otherwise noted, are trademarks (whether registered or not), service marks, and/or trade dress of Mundee (the "Mundee Marks"). All other trademarks, product names, company names, logos, service marks and/or trade dress mentioned, displayed, cited, or otherwise indicated within the App are the property of their respective owners. You are not authorized to display or use the Mundee Marks in any manner without our prior written permission. You are not authorized to display or use trademarks, product names, company names, logos, service marks, and/or trade dress of other owners featured within the App without the prior written permission of such owners. The use or misuse of the Mundee Marks or other trademarks, product names, company names, logos, service marks, and/or trade dress or any other materials contained herein, except as permitted herein, is expressly prohibited.

Your Feedback

The feedback you provide to us through or about the App ("Feedback") will be and remain our exclusive property. Your submission of Feedback will constitute an assignment to us of all worldwide rights, title, and interests in your Feedback, including all copyrights and other intellectual property rights in your Feedback. We will be entitled to reduce to practice, exploit, make, use, copy, disclose, display, or perform publicly, distribute, improve, and modify any Feedback you submit for any purpose whatsoever, without restriction and without compensating you in any way. For this reason, we ask that you not send us any Feedback that you do not wish to assign to us.

Your Obligations

In consideration of your use of the App, you agree that to the extent you provide personal information to Mundee, it will be true, accurate, current, and complete and that you will update all personal information as necessary. You also agree that you will use an image that you are authorized to use for your profile picture, if any. The use of company logos, advertisements, web addresses, contact information, pictures of celebrities, or the unauthorized use of images owned by others is prohibited.

You understand and agree that any account you create, including your username and password, are personal to you and may not be used by anyone else. You are responsible for maintaining the confidentiality of your username and password and are fully responsible for all activities that occur under your username and password, whether by you or by anyone else using your username and password and whether or not authorized by you. You agree to change your password immediately if you believe your password may have been compromised or used without authorization.

Account Misuse and Consequences

You are solely responsible for all activity that occurs on your account. You agree to use your account and the App in accordance with any and all applicable laws, rules, and regulations. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate your account or disable your access to our App at our sole discretion, without notice or liability, for any conduct that we believe violates these Terms of Use or is otherwise harmful to other users of the App, us, or third parties. This includes misuse by you or any third party using your account, with or without your authorization. Misuse includes, but is not limited to:

• Sharing your login credentials to allow non-subscribers to access the App
• Uploading or transmitting through the App any computer viruses, trojan horses, worms, or anything else designed to interfere with, interrupt, or disrupt the normal operating procedures of a computer
• Any unauthorized modification, tampering, or change of any information
• Any interference with the availability of or access to the App
• Any unauthorized scraping of the Content on the App
• Creating false or misleading accounts
• Harassing, bullying, or threatening other users
• Posting spam, malicious links, or inappropriate content

Appeal and Reinstatement Process

If your account is suspended or terminated, you may appeal the decision by contacting us at mundee.help@gmail.com within 30 days of the notice of suspension or termination. Your appeal must include your full name, account information, and a detailed explanation of why you believe the action was in error. We will review the appeal and notify you of our decision, which shall be final. We are under no obligation to reinstate any account.

User-Generated Content

The App includes features where users can share information, opinions, tasks, notes, comments, or other materials ("User-Generated Content"). This content comes from individual users who create and share it within the App. We do not create, control, verify, or endorse User-Generated Content posted by users.

While we aim to maintain a respectful and safe environment, we make no promises about the accuracy, reliability, validity, or completeness of any User-Generated Content. The opinions expressed are those of the individual users and do not necessarily reflect our own.

No Professional Advice

User-Generated Content may include information about professional topics. Such information should not be considered professional advice. You should not rely on any User-Generated Content as a substitute for advice from a qualified professional in the relevant field. You are solely responsible for how you use or rely on User-Generated Content, and you do so entirely at your own risk.

Reliance and Reuse of Information

If you create, share, or distribute content using your own information or information from other users within the App, you are solely responsible for verifying the accuracy, completeness, and appropriateness of that information before use. We are not liable for any errors, omissions, or consequences resulting from the use of inaccurate, outdated, or incomplete information obtained through the App.

To the fullest extent allowed by law, we are not liable for any loss, damage, or harm arising from your use of, or reliance on, User-Generated Content.

We reserve the right, but are not obligated, to monitor, edit, or remove any User-Generated Content that we believe violates our Terms of Use or is otherwise harmful.

Third-Party Integrations

The App may integrate with or provide links to third-party services, applications, or websites. Mundee is not responsible for the availability, content, or practices of these third-party services and does not endorse them unless expressly stated in the App. MUNDEE IS NOT LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH THE USE OF OR RELIANCE ON ANY CONTENT, SERVICES, PRODUCTS, OR OTHER MATERIALS ON OR AVAILABLE FROM SUCH THIRD PARTIES. These Terms do not apply to your use of third-party services; your use of such services is subject to the terms and policies of those third parties.

Subscription Fees and Payments

Free Trial

Mundee offers a 7-day free trial for new users. If you do not cancel your subscription before the end of the 7-day trial period, your payment method will automatically be charged the monthly subscription fee.

Subscription Pricing

After the free trial period ends, you will be charged $5.99 per month for continued access to the App. This subscription fee is required to use Mundee.

Payment Terms

All fees are paid in advance and are non-refundable. By subscribing to Mundee, you agree to pay the monthly subscription fee. We reserve the right to change the subscription price at any time, upon reasonable notice to you, which may be provided through the App or via email.

If you provide us with a payment method that expires during the term of these Terms, we reserve the right to charge any renewal card issued to you as a replacement. You agree to promptly pay Mundee in the event of any refusal of your payment method issuer to pay any amount to Mundee for any reason. In the event you fail to pay any amount when due, Mundee may immediately suspend or terminate your access to the App.

Automatic Renewal

Your Mundee subscription will renew automatically on a monthly basis, unless you cancel your subscription (see Cancellation section below). To avoid being charged for the next monthly period, you must cancel your subscription before your renewal date.

Cancellation

You may cancel your Mundee subscription at any time through the App settings or by contacting us at mundee.help@gmail.com.

For iOS Users: To cancel, go to your iPhone Settings > [Your Name] > Subscriptions > Mundee > Cancel Subscription.

For Android Users: To cancel, open the Google Play Store > Menu > Subscriptions > Mundee > Cancel Subscription.

If you cancel before your next billing date, your cancellation will take effect at the end of your current billing period and you will not be charged again. You will retain access to the App until the end of your paid subscription period.

Disclaimers

Mundee makes no representations or warranties with respect to the App or its Content. The App and all Content are provided on an "as is," "as available" basis, without representations or warranties of any kind. TO THE FULLEST EXTENT PERMITTED BY LAW, MUNDEE DISCLAIMS ANY AND ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, ARISING BY STATUTE, CUSTOM, COURSE OF DEALING, COURSE OF PERFORMANCE, OR IN ANY OTHER WAY, WITH RESPECT TO THE APP AND ITS CONTENT.

Without limiting the generality of the foregoing, Mundee disclaims all representations and warranties of the following: (a) title, non-infringement, merchantability and fitness for a particular purpose, (b) security of the App, (c) that the Content of the App is accurate, complete, or current, or (d) that the App will operate securely or without interruption or error. Your use of the App is at your own risk.

We do not represent or warrant that the App or any transmissions sent from us or through the App will be free of any harmful components (including viruses).

Limitation of Liability

To the fullest extent permitted by applicable laws, we exclude and disclaim liability for any losses and expenses of whatever nature and howsoever arising, including, without limitation, any direct, indirect, general, special, punitive, incidental, or consequential damages, loss of use, loss of data, loss caused by a virus, loss of income or profit, loss of or damage to property, claims of third parties, or other losses of any kind or character, even if we have been advised of the possibility of such damages or losses, arising out of or in connection with the use of the App. You assume total responsibility for establishing such procedures as you consider necessary for data back up and virus checking. This limitation of liability applies whether the alleged liability is based on contract, tort (including negligence), strict liability, or any other basis.

If any part of this limitation on liability is found to be invalid or unenforceable for any reason, then the aggregate liability shall not exceed the amount you paid Mundee in the twelve (12) months immediately preceding the event giving rise to the liability.

Indemnification

You shall indemnify, defend, and hold harmless Mundee and its owners, officers, employees, and agents (collectively, the "Indemnified Parties") from and against any and all claims, demands, suits, proceedings, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (1) your use of the App in violation of any applicable law, regulation, or ordinance, (2) any claim that your use infringes, misappropriates, or otherwise violates the rights of any third party, or (3) your breach of these Terms, including your representations and warranties. We reserve the right to defend any such claim, and you agree to provide us with such reasonable cooperation and information as we may request.

Geographic Restrictions

The App and its services are intended for access and use within the United States and Canada only. By accessing the App, you affirm that you are located in either the United States or Canada. If you access the App from a country other than the United States or Canada, your use of the App is unauthorized and at your own risk. The App complies with applicable United States and Canadian privacy laws.

Modification, Discontinuation, and Termination

We reserve the right, at any time and from time-to-time and with or without notice, to modify, edit, delete, suspend, or discontinue, temporarily or permanently, the App (or any portion thereof) and/or the information, materials, products, and/or services available through the App (or any part thereof). You agree that we shall not be liable to you or to any third party for any such modification, editing, deletion, suspension, or discontinuance of the App.

You also agree that Mundee, in its sole discretion, may terminate your password, account (or any part thereof), or use of the App for any reason, including, without limitation, for lack of use or if Mundee believes that you have violated or acted inconsistently with the letter or spirit of these Terms. You agree that any termination of your access to the App for violation of any provision of these Terms may be effected without prior notice, and you acknowledge and agree that Mundee may immediately deactivate or delete your account and all related information in your account and/or bar any further use of or access to the App. Further, you agree that Mundee shall not be liable to you or any third-party for any termination of your use of or access to the App. If Mundee terminates your use of or access to the App due to a violation of these Terms, Mundee will not issue any refunds to you but also will not charge your payment method again.

Waiver

Our failure at any time to require immediate performance of any provision of these Terms or to exercise any right provided for herein will not be deemed a waiver of such provision or such right. All waivers must be in writing. Unless the written waiver contains an express statement to the contrary, Mundee's waiver of any breach of any provision of these Terms or of any right provided for herein will not be construed as a waiver of any continuing or succeeding breach of such provision, a waiver of the provision itself, or a waiver of any right under these Terms.

Severability

If any provision of these Terms is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law, and the remaining provisions of these Terms will remain in full force and effect.

Governing Law, Jurisdiction, and Venue

These Terms will be governed under the laws of the State of Tennessee without regard to its conflicts of law provisions. All actions or proceedings arising out of or relating to these Terms will be venued exclusively in state or federal court in Tennessee with jurisdiction over Thompson's Station, Tennessee. You hereby irrevocably consent and submit to the personal jurisdiction of said courts for all such purposes. However, we retain the right to bring legal proceedings in any jurisdiction where we believe that violation of these Terms is taking place or originating.

Terms of Use May Change

These Terms are current as of the effective date set forth above. Mundee reserves the right to change these Terms from time to time and as it deems necessary, including to be consistent with applicable laws. These changes will be effective as of the date we post the revised version in the App or on our website. Your continued use of the App after we have posted the revised Terms constitutes your agreement to be bound by the revised Terms. If at any time you choose not to accept the revised Terms, you may not access or use the App.

Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms referenced or linked to herein, contain the entire understanding and agreement between you and Mundee with respect to the App and supersede all previous communications, negotiations, and agreements, whether oral, written, or electronic, between you and Mundee with respect to the App and your use of and access to the App.

Additional Terms for Mobile Applications

Apple® App Store Requirements

If you downloaded the Mundee App from the Apple App Store®, the following terms also apply to you:

a. Acknowledgement: You acknowledge that this Agreement is between you and Mundee only, that Apple is not a party to this Agreement, and that Mundee, and not Apple, is responsible for the App and the content thereof.

b. Scope of License: The license granted to you for the App is a limited, non-transferable, and revocable license to use the App on an Apple device that you own or control and only as permitted by the Apple App Store's terms.

c. Maintenance and Support: Mundee, and not Apple, is solely responsible for providing any maintenance and support services with respect to the App. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

d. Warranty: Mundee is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the App's purchase price to you (if any was paid). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.

e. Product Claims: Mundee, not Apple, is responsible for addressing any claims you or any third party may have relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

f. Intellectual Property Rights: In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Mundee, and not Apple, is responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

g. Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

h. Third-Party Terms of Agreement: You must comply with applicable third-party terms when using the App (e.g., your wireless data service agreement when using the App).

i. Third-Party Beneficiary: Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms with respect to your license of the App, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

Google Play Store Requirements

If you downloaded the Mundee App from the Google Play Store, the following terms also apply to you:

Maintenance and Support: Mundee, and not Google Play, is solely responsible for providing any maintenance and support services with respect to the App. You acknowledge that Google Play has no obligation whatsoever to furnish any maintenance and support services with respect to the App and you will contact Mundee concerning any defects or performance issues with respect to the App.

This privacy policy applies to the Mundee app (hereby referred to as "Application") for mobile devices that was created by Brady Hicks (hereby referred to as "Service Provider") as a Commercial service. This service is intended for use "AS IS".

Information Collection and Use

The Application collects information when you download and use it. This information may include information such as

• Your device's Internet Protocol address (e.g. IP address)
• The pages of the Application that you visit, the time and date of your visit, the time spent on those pages
• The time spent on the Application
• The operating system you use on your mobile device

The Application does not gather precise information about the location of your mobile device.

The Service Provider may use the information you provided to contact you from time to time to provide you with important information, required notices and marketing promotions.

For a better experience, while using the Application, the Service Provider may require you to provide us with certain personally identifiable information, including but not limited to Email, first name, last name. The information that the Service Provider request will be retained by them and used as described in this privacy policy.

Third Party Access

Only aggregated, anonymized data is periodically transmitted to external services to aid the Service Provider in improving the Application and their service. The Service Provider may share your information with third parties in the ways that are described in this privacy statement.

Please note that the Application utilizes third-party services that have their own Privacy Policy about handling data. Below are the links to the Privacy Policy of the third-party service providers used by the Application:

• Supabase

The Service Provider may disclose User Provided and Automatically Collected Information:

• as required by law, such as to comply with a subpoena, or similar legal process;
• when they believe in good faith that disclosure is necessary to protect their rights, protect your safety or the safety of others, investigate fraud, or respond to a government request;
• with their trusted services providers who work on their behalf, do not have an independent use of the information we disclose to them, and have agreed to adhere to the rules set forth in this privacy statement.

Use of Artificial Intelligence

The Application uses Artificial Intelligence (AI) technologies to enhance user experience and provide certain features. The AI components may process user data to deliver personalized content, recommendations, or automated functionalities. All AI processing is performed in accordance with this privacy policy and applicable laws. If you have questions about the AI features or data processing, please contact the Service Provider.

Opt-Out Rights

You can stop all collection of information by the Application easily by uninstalling it. You may use the standard uninstall processes as may be available as part of your mobile device or via the mobile application marketplace or network.

Data Retention Policy

The Service Provider will retain User Provided data for as long as you use the Application and for a reasonable time thereafter. If you'd like them to delete User Provided Data that you have provided via the Application, please contact them at mundee.help@gmail.com and they will respond in a reasonable time.

Children

The Service Provider does not use the Application to knowingly solicit data from or market to children under the age of 13.

The Application does not address anyone under the age of 13. The Service Provider does not knowingly collect personally identifiable information from children under 13 years of age. In the case the Service Provider discover that a child under 13 has provided personal information, the Service Provider will immediately delete this from their servers. If you are a parent or guardian and you are aware that your child has provided us with personal information, please contact the Service Provider (mundee.help@gmail.com) so that they will be able to take the necessary actions.

Security

The Service Provider is concerned about safeguarding the confidentiality of your information. The Service Provider provides physical, electronic, and procedural safeguards to protect information the Service Provider processes and maintains.

Changes

This Privacy Policy may be updated from time to time for any reason. The Service Provider will notify you of any changes to the Privacy Policy by updating this page with the new Privacy Policy. You are advised to consult this Privacy Policy regularly for any changes, as continued use is deemed approval of all changes.

By using the Application, you are consenting to the processing of your information as set forth in this Privacy Policy now and as amended by us.
